1. Scope and Applicability
These Venue Partner Terms ("Partner Terms") govern the relationship between BOREAL SOLUTIONS LTD ("SUPAIRNIC", "we") and sports venues, facilities, and their operators ("Venue", "Partner", "you") that register or claim a venue account on the SUPAIRNIC platform (the "Platform").
The Partner Terms apply in addition to the Terms of Service. In case of conflict between the two documents with respect to venue accounts, these Partner Terms prevail.
These terms constitute a commercial (B2B) agreement. By accepting them, you represent that you act in your capacity as a business or an authorized representative of a business, not as a consumer within the meaning of consumer protection law.
Individual agreements: If an individual written agreement is concluded between SUPAIRNIC and the Venue, its terms prevail over these Partner Terms with respect to the individually negotiated commercial terms between the parties, except where otherwise required by a mandatory provision of law.
Document hierarchy: Personal data matters are governed by the Privacy Policy and, where concluded, the data processing agreement (DPA). Nothing in these terms limits rights that cannot be limited by law.
2. Registration and Venue Claims
2.1 Eligibility
A venue account may only be registered by a person who is the owner, manager, or expressly authorized representative of the respective venue
By submitting a claim request, you represent that you are authorized to act on behalf of the Venue
A false representation is grounds for immediate account termination
2.2 Verification
We reserve the right to request proof of authority (documents, contact through an official channel of the Venue, or another reasonable check)
We reserve the right to refuse or revoke a claim on reasonable grounds, including suspected lack of authority to represent the Venue, abuse, inaccurate or misleading data, violation of the law, breach of these terms, or risk to user safety
Until a claim request is approved, the Venue remains in an unclaimed state
3. Venue Data and Content
3.1 Accuracy Responsibility
Once a claim is approved, you manage the Venue's data (name, address, photos, opening hours, phone, website, supported sports)
You are responsible for keeping this data accurate, current, and non-misleading – it is displayed to users on your behalf
You undertake to promptly update material changes (opening hours, temporary closures, prices, booking or cancellation terms, cessation of operations)
You agree to cooperate with SUPAIRNIC in relation to verification checks, reports, user complaints, and technical issues concerning the Venue
3.2 Content License
You retain ownership of the content you upload (photos, logos, descriptions)
You grant SUPAIRNIC a non-exclusive, royalty-free, non-transferable (except to SUPAIRNIC's technical service providers acting on its behalf) license to reproduce, store, publicly display, offer electronic access to, and technically format/resize the uploaded content, solely for the purposes of the Venue's presentation on the Platform – in the Venue's profile, in search results, on the map, and in reasonable promotional materials directly related to the Venue's presentation on SUPAIRNIC
The license lasts for as long as the content is published or until the Venue's account is terminated, unless limited retention is required by law or for archival/evidentiary purposes
You warrant that you hold the rights to the uploaded content and that it does not infringe third-party rights
If the uploaded content includes images of individuals, you warrant that you have the necessary consents or another valid basis for their use and publication
Content must comply with the standards in the Terms of Service (no misleading, offensive, or inappropriate content)
4. Venues Without a Partner Profile (Public Data)
The Platform also displays venues that have not been claimed. Their information (name, address, coordinates, supported sports) is sourced by SUPAIRNIC from publicly available sources.
A venue's presence on the Platform does not imply partnership, endorsement, or a contractual relationship with SUPAIRNIC
Any authorized representative may claim their venue and take control of how it is presented

4a. Visibility and Ranking on the Platform
The ranking and visibility of venues in search results and on the map are determined by factors such as proximity to the user's location, selected sport, completeness and accuracy of the Venue's data, whether the venue has a claimed (partner) profile, and activity
There is currently no paid or sponsored positioning; if introduced, it will be clearly labelled and governed by prior notice in accordance with Section 10
We do not restrict your right to offer your services on any terms through other channels outside the Platform
Objections and complaints regarding visibility, restriction, or termination of an account are handled via Section 14 (Contact); you will receive a response within a reasonable period stating the grounds
5. Bookings
If booking functionality through the Platform is enabled for the Venue:
The contract for access to or use of the Venue is concluded directly between the user and the Venue; SUPAIRNIC only transmits the request and is not a party to that contract
You define and publish your own booking, cancellation, and no-show terms and apply them consistently and in good faith; if you publish prices, they must be final, clear, and non-misleading, inclusive of all taxes and charges
You undertake to honor bookings confirmed through the Platform; systematic refusals or no-shows by the Venue are grounds for restricting or terminating the partnership
Payments between the user and the Venue (if any) are settled directly between them, unless expressly agreed otherwise
No-show reporting:
For bookings made through the Platform, you may report through the App that a booking was not attended. Reports must be truthful and submitted within 24 hours after the booked slot ends
A confirmed report results in a platform reputation penalty (Trust Index) for the event's organizer and participants; it does not settle, and must not be used to pursue, any commercial claim between you and the user – such claims remain outside the Platform
Submitting false or retaliatory no-show reports is a material breach of these Terms and grounds for removing the reporting capability or restricting or terminating the partnership
6. Fees and Commissions
SUPAIRNIC currently does not charge Venues any fees or commissions for inclusion on the Platform, unless otherwise agreed in an individual written agreement
Future paid features or commission models will only be introduced with prior notice and your express acceptance (including via an individual agreement)
Where fees or commissions are due under an individual agreement, you must not circumvent the Platform to avoid them – including by directing users who made an inquiry or booking through the Platform toward off-platform arrangements on the same or similar terms
7. Personal Data
The processing of personal data of Venue representatives (contact details, verification data) is described in our Privacy Policy
If you receive users' personal data through the Platform (e.g. names and booking details), you process it as an independent controller for the purpose of fulfilling the booking, and you undertake to process it lawfully and not to use it for other purposes (including marketing), disclose it to third parties, or retain it beyond what is necessary to fulfil that booking, without a valid legal basis
The Venue is responsible for providing its customers with the necessary information about the processing of personal data in connection with the booking, venue access, payments, cancellations, and no-show rules
Data protection roles: where the Venue receives user data for its own purposes (fulfilling a booking, venue access), it acts as an independent controller; where SUPAIRNIC processes personal data on the Venue's documented instructions, the parties will conclude a data processing agreement (DPA); where the parties jointly determine the purposes and means of processing, a separate joint controllership arrangement will be concluded. 8. Warranties and Liability
SUPAIRNIC provides a technology platform and does not organize, manage, or independently control the sports activities, access to the Venue, internal rules, safety, opening hours, or prices of the Venue
SUPAIRNIC provides the Platform "as is" and does not guarantee any volume of bookings, foot traffic, or revenue for the Venue
The Venue bears full responsibility for the safety, condition, and lawful operation of its facilities, including required permits and insurance, as well as for the conduct of its staff, subcontractors, and representatives, and for its relationship with end users beyond the Platform's technical intermediation
The Venue indemnifies SUPAIRNIC against claims, damages, costs, and reasonable legal expenses arising from the Venue's content, data, services, actions or omissions, breach of these terms or of the applicable individual agreement, including third-party claims
SUPAIRNIC is not liable for damages caused by the acts or omissions of the Venue, its staff, subcontractors, users, or third parties, except to the extent such damages are the direct result of SUPAIRNIC's culpable non-performance
SUPAIRNIC's liability towards the Venue is limited to the fees paid by the Venue to SUPAIRNIC in the preceding 12 months (or, if none, to BGN 100), except in cases of intent or gross negligence
9. Term and Termination
9.1 Termination by You
You may terminate your venue account at any time via the app settings or by writing to support@supairnic.com
Confirmed future bookings should be fulfilled or properly cancelled before termination
If an individual agreement for booking functionality is in place for the Venue, account termination follows the notice period set out in that agreement
9.2 Termination by Us
We may restrict or terminate a venue account in case of breach of these terms, false information, abuse, or for legal reasons
Examples include, without limitation: circumventing the Platform to avoid fees due under an individual agreement; providing false, inaccurate, or misleading Venue data; a pattern of end-user complaints or conduct that damages our or the Platform's reputation; and insolvency or liquidation proceedings against you. Payment-related termination grounds, where applicable, are set out in the relevant individual agreement
Where possible, we will provide notice and an opportunity to remedy the breach
9.3 Effect of Termination
Data and content uploaded by the Venue (photos, opening hours, contact details) are removed from the Platform
The Venue's record may remain on the Platform in an unclaimed state, displayed based on publicly available data (see Section 4), or be deactivated
Data may be retained to the extent required by law
Termination does not affect any outstanding payments, reports, or obligations accrued before it takes effect, nor does it affect provisions that by their nature are intended to survive termination, including those on liability, personal data, and confidentiality
10. Changes to These Terms
For material changes we notify active Partners on a durable medium – by email or another electronic channel that allows the notification to be stored
Changes take effect no earlier than 15 days after notification; where a change requires technical or commercial adaptation on your side, we provide a reasonably longer period
A shorter period is permitted only where required by law, a regulatory obligation, or urgent security considerations
Continued use of the venue account after the changes take effect constitutes acceptance
If you do not agree with the changes, you may terminate your account in accordance with Section 9 before they take effect
11. Governing Law and Disputes
These terms are governed by the laws of the Republic of Bulgaria
Disputes shall be resolved through good-faith negotiations; if no agreement is reached within 14 days, the dispute will be referred to the competent court in Sofia, Bulgaria
12. Confidentiality
Each party undertakes to keep confidential the non-public commercial, technical, financial, and operational information received from the other party in connection with the partnership (including commercial terms, usage statistics, booking data, development plans, and internal processes)
Disclosure is permitted only where required by law or by a competent authority, or with the other party's prior written consent
The confidentiality obligation survives for 2 years after termination of the partnership, except for information that by law or by its nature must remain confidential for a longer period
This obligation does not restrict public communication of the partnership itself (e.g. labelling the Venue as a partner on the Platform), insofar as this does not disclose non-public commercial terms
13. Severability
If any provision of these terms is held invalid or unenforceable under applicable law, this does not affect the validity of the remaining terms. The invalid provision will be replaced by the mandatory provisions of the applicable law or by prevailing practice.
